These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and PIAQEE AI ("Company", "we", "us", or "our") governing your access to and use of the PIAQEE AI platform and services. Please read these Terms carefully before using our services.
By accessing or using any part of our services — including our website, APIs, LLM Token services, Clawbot, GPU Infrastructure, Text-to-Video generation, Skill Market, and AI Video Incubator — you agree to be bound by these Terms and our Privacy Policy. If you are using our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use our services.
To access certain features of our platform, you must register for an account. You agree to: • Provide accurate, current, and complete information during registration. • Maintain the security of your account credentials and API keys. • Promptly notify us of any unauthorized access or security breach. • Accept responsibility for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms or exhibit suspicious activity.
PIAQEE AI provides the following services subject to these Terms: • LLM Token Services: Unified access to multiple large language models through a single API and token balance. • Clawbot: AI-powered intelligent agents with one-click creation, migration, and management. • GPU Infrastructure: Access to GPU compute resources for training, fine-tuning, and inference. • Text-to-Video: AI-powered video generation from text prompts. • Skill Market: Marketplace for creating, publishing, and installing Clawbot skills. • AI Video Incubator: Mentorship program for AI short video creators. We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice.
You agree not to use our services to: • Violate any applicable laws, regulations, or third-party rights. • Generate, distribute, or store content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable. • Attempt to gain unauthorized access to our systems, networks, or other users' accounts. • Interfere with or disrupt the integrity or performance of our services. • Reverse engineer, decompile, or attempt to extract the source code of our platform. • Use our services to develop competing products or services. • Exceed rate limits or abuse API access in a manner that impacts other users. • Use our GPU resources for cryptocurrency mining or other unauthorized purposes. [Enforcement & Accountability] You are fully responsible for all activities conducted under your account. If PIAQEE AI determines, at its sole discretion, that your use of the platform violates applicable laws, regulations, or these Terms, the platform reserves the right to: • Immediately suspend or permanently terminate your account without prior notice. • Freeze or forfeit remaining Credits in your account. • Preserve and disclose relevant account data, usage logs, and content as required to cooperate with law enforcement agencies, regulatory authorities, or judicial bodies in any applicable jurisdiction. PIAQEE AI is committed to cooperating fully with government investigations and legal proceedings. Users should be aware that any illegal or non-compliant activity on the platform may be reported to and investigated by the relevant authorities.
PIAQEE AI operates on a prepaid credit system. All platform resources are measured and consumed in Credits. • Prepaid Credits: Users must purchase Credits in advance. Upon payment, your funds are converted to Credits at the prevailing exchange rate. Credits are the sole unit of account for all platform services. • Credit Consumption: Different services consume Credits at different rates (e.g., LLM tokens, GPU hours, video generation). Current rates are published on our pricing page. • Insufficient Credits: When your Credit balance is depleted, certain services may become unavailable. Running resources (such as GPU instances, active Clawbots, or scheduled tasks) may be suspended or reclaimed by the platform if your balance remains at zero. • Promotions & Bonuses: Any discounts, promotional offers, or rewards will be issued in the form of Credits added to your account balance. • No Refunds: Credits purchased on the platform can only be used for platform services and consumption. Credits are non-refundable and non-transferable in principle, except as required by applicable law. • Price Changes: We may adjust Credit pricing or service consumption rates with 30 days' advance notice. Continued use after the effective date constitutes acceptance of the new pricing.
• Our IP: The PIAQEE AI platform, including all software, designs, algorithms, documentation, trademarks, and service marks, are owned by PIAQEE AI and protected by international intellectual property laws. • Your Content: You retain ownership of all content, data, and prompts you submit to our services. By using our platform, you grant us a limited license to process your content solely for the purpose of providing our services. • Generated Output: Output generated by our AI services (including text, code, and video) is owned by you, subject to any third-party model provider terms. We claim no ownership over AI-generated output. • Skill Market IP: Skills you publish on the Skill Market remain your intellectual property. You grant PIAQEE AI a license to distribute and display your Skills on the marketplace.
We strive to maintain high availability for all services: • Platform Uptime Target: 99.9% monthly uptime for core API services. • Scheduled Maintenance: We will provide at least 48 hours' notice for planned maintenance windows. • Support: Enterprise customers receive priority support with guaranteed response times as defined in their service agreement. • Incident Response: We will notify affected users of service disruptions and provide regular status updates. Service credits may be available for downtime exceeding our uptime commitments, as detailed in individual service agreements.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: • PIAQEE AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill. • Our total aggregate liability for any claims arising from or related to these Terms or our services shall not exceed the total amount you paid to PIAQEE AI in the twelve (12) months preceding the claim. • We are not liable for any errors, inaccuracies, or biases in AI-generated output, or for any decisions made based on such output. • We are not responsible for the availability, accuracy, or performance of third-party LLM providers accessed through our platform.
You agree to indemnify and hold harmless PIAQEE AI, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit through our services.
• By You: You may terminate your account at any time by contacting us or through your account settings. Termination does not entitle you to a refund of prepaid fees. • By Us: We may suspend or terminate your access immediately if you violate these Terms, fail to pay outstanding fees, or if required by law. • Effect of Termination: Upon termination, your right to use our services ceases immediately. We will retain your data for 30 days after termination, after which it will be permanently deleted unless retention is required by law. • Survival: Sections relating to intellectual property, limitation of liability, indemnification, and dispute resolution survive termination.
These Terms shall be governed by the laws applicable to the jurisdiction in which you reside or where your organization is established: • For users in Mainland China: These Terms are governed by the laws of the People's Republic of China. Disputes shall be submitted to the competent court in the jurisdiction where PIAQEE AI's Chinese entity is registered. • For users in Hong Kong SAR: These Terms are governed by the laws of Hong Kong SAR. Disputes shall be resolved through arbitration administered by the Hong Kong International Arbitration Centre (HKIAC). • For users in the United States: These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. • For users in the European Union / EEA: These Terms are governed by the laws of Ireland. You may also have rights under your local consumer protection laws. In all cases, disputes shall first be attempted to be resolved through good-faith negotiation within 30 days. If negotiation fails, disputes shall be resolved through binding arbitration or before the competent courts as specified above. Each party shall bear its own costs unless otherwise determined by the arbitrator or court.
We may revise these Terms from time to time. Material changes will be communicated with at least 30 days' advance notice via email or a prominent notice on our website. Your continued use of our services after the revised Terms take effect constitutes your acceptance. If you do not agree with the revised Terms, you must discontinue use of our services.
